Socratus

1. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service. By using Socratus, you confirm that you meet this requirement and that you have the authority to accept these Terms, including on behalf of an organization if you use the Service for work.

2. Your account and sign-in

Socratus uses passwordless sign-in. When you sign in, we send a secure link to the email address you provide. You are responsible for keeping access to that email account secure, since anyone with access to it may be able to sign in as you. Notify us promptly if you believe your account or sign-in email has been compromised. You are responsible for activity that occurs through your account.

3. Licenses and payment

Socratus is available under different tiers:

Free (personal use): Provided at no cost for individual, non-commercial use, with access to the core features described at the time of download.

Professional and enterprise licenses: Paid licenses that grant commercial usage rights and the features described for each tier at the point of purchase.

The following terms apply to paid licenses:

Pricing and terms: You can find current prices, license durations, and included features on our pricing page or at checkout. Those details, rather than any figure repeated elsewhere, govern your purchase.

License scope: A license grants you a limited, non-exclusive, non-transferable right to use Socratus for the term and purpose described for that tier. It does not transfer ownership of the software.

Payment: Payments are handled by our third-party payment processor. You agree to provide accurate billing information and authorize the applicable charges.

Updates and renewals: Each paid tier includes updates for the stated period. Renewal terms, if any, are described at the point of purchase.

We may change our pricing or the features included in a tier. Changes do not affect a license you have already purchased for its current term.

4. License key and activation

Paid features are unlocked using a license key issued to you. You agree not to share, resell, or publish your license key, and not to attempt to circumvent license activation or use paid features without a valid license. We may deactivate keys that are used in violation of these Terms.

5. Your content

You retain all rights to the notes, files, and other content you create or import into Socratus ("Your Content"). Because Socratus is local-first, Your Content is stored on your device or in a storage location you choose, and we do not claim ownership of it.

You are responsible for Your Content, including having the rights to use and store it and ensuring it does not violate the law or the rights of others. You are responsible for maintaining your own backups. We are not responsible for loss of content stored on your device or in third-party storage you configure.

6. Acceptable use

You agree not to use the Service to:

Violate any applicable law or regulation.

Infringe the intellectual property, privacy, or other rights of others.

Distribute malware or attempt to disrupt, damage, or gain unauthorized access to the Service or related systems.

Reverse engineer, decompile, or attempt to extract source code, except to the extent this restriction is prohibited by applicable law.

Circumvent licensing, usage limits, or security features.

Resell, sublicense, or commercially redistribute the Service except as permitted by your license.

7. Third-party services

Socratus can work alongside services provided by others. Your use of those services is governed by their terms and privacy policies, not these Terms.

External AI providers: If you connect to an external large language model provider using your own credentials, the content you submit is sent to that provider and handled under its terms. You are responsible for your use of that provider and for any credentials you supply.

Cloud storage: If you store Socratus files with a service like Dropbox, that provider governs the storage and transmission of those files.

Encryption: Socratus offers file-level encryption powered by QEncrypt. You are responsible for managing your keys and passphrases. If you lose them, we may be unable to recover the encrypted content.

App stores and model downloads: Distribution through an app store, and any model files downloaded to enable on-device AI, may be subject to the terms of the relevant provider.

8. AI features

Socratus includes AI features, including an on-device model and an optional external provider connection. AI output can be inaccurate, incomplete, or unsuitable for a given purpose. You are responsible for reviewing and verifying AI output before relying on it, and you should not treat it as professional, legal, medical, or financial advice. We do not warrant the accuracy of AI-generated results.

9. Intellectual property

The Service, including the Socratus software, its design, and its trademarks, is owned by FiveRivers Technologies and its licensors and is protected by intellectual property laws. These Terms do not grant you rights to our trademarks or branding. All rights not expressly granted to you are reserved.

10. Disclaimers

The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or fully secure, or that it will meet your requirements.

11. Limitation of liability

To the fullest extent permitted by law, FiveRivers Technologies and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or goodwill, arising from or related to your use of the Service. To the fullest extent permitted by law, our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us for the Service in the twelve months before the claim, or USD 50.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

12. Indemnification

You agree to indemnify and hold harmless FiveRivers Technologies and its affiliates from any claims, damages, or expenses arising from your misuse of the Service, your violation of these Terms, or your violation of the rights of others.

13. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or use the Service in a way that could cause harm or legal liability. On termination, the rights granted to you under these Terms end. Content stored on your device or in your own storage remains with you, subject to your own arrangements. Sections that by their nature should survive termination, such as intellectual property, disclaimers, limitation of liability, and indemnification, will continue to apply.

14. Changes to the service and these terms

We may modify or discontinue features of the Service, and we may update these Terms to reflect changes to the Service or legal requirements. We will post the updated Terms with a revised "Last updated" date, and for material changes we will provide additional notice in the app or by email. Continued use of the Service after the effective date means you accept the updated Terms.

15. Governing law and disputes

These Terms are governed by the laws of Pakistan, without regard to its conflict of laws rules. Any dispute arising from these Terms or the Service will be subject to the courts of Pakistan, except where applicable law gives you the right to bring a claim in your local courts.
